Agreement and eligibility

These Terms of Service (“Terms”) are a legal agreement between P101 LLC (“P101,” “Pipetidy,” “we,” “us,” or “our”) and the person or organization using Pipetidy (“Customer,” “you,” or “your”). If you use Pipetidy for an organization, you represent that you have authority to bind it.

You must be legally able to enter into a contract and at least 18 years old. If you do not agree to these Terms, do not use the service.

The service

Pipetidy provides customer relationship management, communications, project and task management, portals, invoicing, automation, AI assistance, lead generation, enrichment, and related functionality. Features may change as the product develops.

Pre-release, beta, or early-access features may be incomplete, change without notice, or be discontinued. They are provided for evaluation and may have additional limits.

Accounts and workspace administration

You are responsible for accurate registration information, protecting login credentials, and all activity under your account. Tell us promptly if you suspect unauthorized access.

A workspace owner or administrator may manage users, permissions, integrations, exports, and customer content. If an organization controls your account, its administrators may access and manage information associated with that workspace.

Customer content and permissions

You retain ownership of information and materials you submit to Pipetidy (“Customer Content”). You grant P101 LLC a limited right to host, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, support, and improve the service and as otherwise directed by you.

You represent that you have all rights, notices, permissions, and lawful bases needed for Customer Content and your use of it, including for contacts, outreach, imported profiles, email, recordings, transcripts, and shared portals. You are responsible for your communications and for complying with marketing, privacy, recording-consent, employment, and other applicable laws.

Acceptable use

You may not use Pipetidy to break the law; infringe rights; send unlawful, deceptive, or unsolicited communications; collect data without authorization; distribute malware; probe or disrupt systems; bypass limits or security controls; misrepresent identity; or help others do any of these things.

You may not reverse engineer the service except where law expressly permits it, resell access without authorization, or use the service to build a competing product through systematic extraction of its features, interface, or data.

AI features and third-party integrations

AI-generated summaries, drafts, enrichment, classifications, and recommendations may be inaccurate or incomplete. You must review output before relying on it, sending it, or using it to make decisions. Do not use AI output as a substitute for professional advice or as the sole basis for decisions with legal or similarly significant effects.

Connected services are provided by third parties under their own terms. We are not responsible for third-party services, their availability, or changes they make. You authorize us to exchange information with a connected service as needed to provide the integration.

Fees, billing, and taxes

Paid plans, billing periods, usage allowances, and renewal terms will be shown when you order or in an applicable order form. Unless stated otherwise, fees are non-refundable except where required by law. You are responsible for applicable taxes other than taxes on P101 LLC’s income.

We may change prices prospectively by providing reasonable notice. If payment is overdue, we may limit or suspend paid functionality after notice where practicable.

Ownership, feedback, and privacy

P101 LLC and its licensors own Pipetidy, including its software, design, documentation, branding, and other technology. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription; they do not transfer ownership.

If you provide feedback, you allow us to use it without restriction or compensation. Our Privacy Policy explains how we handle personal information.

Suspension and termination

You may stop using Pipetidy at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or use the service in a way that could harm others or Pipetidy.

Where reasonable, we will provide notice and an opportunity to remedy the issue. Upon termination, your right to use the service ends. Provisions that by their nature should survive—including ownership, disclaimers, liability limits, and general terms—will survive.

Disclaimers and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPETIDY IS PROVIDED “AS IS” AND “AS AVAILABLE.” P101 LLC DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE OR AI OUTPUT WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, P101 LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. P101 LLC’S TOTAL LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR PIPETIDY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR US$100.

Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you.

General terms

You will defend and indemnify P101 LLC from third-party claims arising from your Customer Content, your unlawful use of the service, or your material breach of these Terms, to the extent permitted by law.

These Terms are governed by applicable United States law and the law of the state where P101 LLC has its principal place of business, without regard to conflict-of-law rules. Courts located in that jurisdiction will have exclusive venue, unless applicable law requires otherwise.

Neither party is liable for delays caused by events beyond reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. If a provision is unenforceable, the remainder stays effective. These Terms, together with any order form and referenced policies, are the entire agreement about the service.

We may update these Terms. Material changes will apply prospectively after notice where required. Continued use after the effective date means you accept the updated Terms.
